1. Acceptance of Terms

By accessing or using TradeClips ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

TradeClips is a portfolio tracking and investment research organization platform that allows you to:

• Aggregate and organize investment research from web articles
• Connect brokerage accounts to view portfolio holdings
• Track investment theses and ideas
• Maintain a trading journal
• Generate AI-powered summaries of your research
• Search your clipped content using AI

3. User Accounts

3.1 Account Creation

You must create an account to use TradeClips. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activity under your account

3.2 Eligibility

You must be at least 18 years old to use TradeClips. By using the Service, you represent and warrant that you are at least 18 years of age.

4. Subscription Plans & Billing

4.1 Plans

TradeClips offers the following subscription plans:

• Pro Trial: 7-day free trial with full access to Pro features
• Investor Plan: $19/month or $199/year - Portfolio tracking and research organization
• Pro Plan: $35/month or $350/year - Full access including brokerage sync, trading journal, and strategy analytics

4.2 Billing

Subscriptions are billed monthly or annually in advance, depending on your selection. You authorize us to charge your payment method on a recurring basis. Prices are subject to change with 30 days' notice.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

4.4 Trial Period

New users receive a 7-day Pro trial. You will not be charged during the trial. If you do not cancel before the trial ends, you will be automatically enrolled in the Investor plan unless you select a different plan.

5. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Violate any laws or regulations
• Share your account credentials with others
• Attempt to access other users' accounts or data
• Reverse engineer, decompile, or attempt to extract source code
• Use automated systems (bots, scrapers) to access the Service
• Overload or interfere with Service infrastructure
• Upload malicious code or viruses
• Infringe on intellectual property rights
• Harass, threaten, or harm others

6. Third-Party Services

TradeClips integrates with third-party services:

• Snaptrade: Brokerage account aggregation
• Google Gemini: AI search and summaries
• Supabase: Authentication and data storage
• Stripe: Payment processing

Your use of these services is subject to their respective terms of service. We are not responsible for third-party service availability, accuracy, or security.

7. Intellectual Property

7.1 Our IP

TradeClips and all related trademarks, logos, and content (excluding user content) are owned by us or our licensors. You may not use our IP without prior written permission.

7.2 Your Content

You retain ownership of content you submit (clips, notes, journal entries). By using TradeClips, you grant us a license to:

• Store and display your content
• Process your content with AI services (Gemini) for features you enable
• Back up and secure your content

We will not share your private content with others without your permission, except as required by law or as described in our Privacy Policy.

8. Data Security & Privacy

We implement reasonable security measures to protect your data. However, no system is 100% secure. See our Privacy Policy for details on how we collect, use, and protect your information.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We disclaim all warranties including:

• Merchantability and fitness for a particular purpose
• Accuracy, completeness, or timeliness of data
• Uninterrupted or error-free operation
• Security or freedom from viruses

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADECLIPS SHALL NOT BE LIABLE FOR:

• Investment losses or financial damages
• Lost profits, revenue, or business opportunities
• Data loss or corruption
• Service interruptions or downtime
• Third-party service failures
• Indirect, incidental, consequential, or punitive damages

IN NO EVENT SHALL OUR LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE PAST 12 MONTHS.

11. Indemnification

You agree to indemnify and hold harmless TradeClips, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of third-party rights

12. Termination

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Suspected fraud or abuse
• Non-payment of fees
• Any other reason at our discretion

Upon termination, you lose access to your account and data. We may retain data for legal compliance or backup purposes.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or in-app notification. Continued use after changes constitutes acceptance.

14. Governing Law & Disputes

14.1 Governing Law

These Terms are governed by the laws of the State of [YOUR STATE], United States, without regard to conflict of law principles.

14.2 Arbitration

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and TradeClips
• Severability: If any provision is found invalid, the remaining provisions continue in effect
• No Waiver: Failure to enforce any right does not waive that right
• Assignment: You may not transfer these Terms; we may assign them to affiliates or acquirers
